The primary mission and focus
of
Com-Guard, Inc. is to develop products for the microcomputer industry that provide cost
effective and enhanced system security for both individual users and network
administrators.The Company's patented product,
Com-Guard Pro, includes unique software and hardware that will enable users to manage
Web access and use; protect and limit access to data; and to provide a security system
against tampering, unauthorized use, or theft of computers. The focus of our company and
its products is the detection, prevention, and notification of any attacks on the
Com-Guard equipped computer and/or monitored site.

Com-Guard, Inc. Corporate Overview
Com-Guard, Inc. incorporated on
October 7, 1998. For the first 2 years of its
existence the company spent its time in development. Beginning in Spring of 2001 the
company began marketing and sales activities and is continuing to develop its market
channels both in the United States and Internationally.
The principal business of Com-Guard, Inc.
is the exploitation of niche products for the microcomputer industry that provide enhanced
system security for both individual users and network administrators. The Company's
patented product, Com-Guard Pro, includes Web-Guard, an Internet access management
tool; the unique Com-Guard software that enables users to monitor, limit and
record access to data; and the Sensor-Card hardware that provides a security system
against tampering and unauthorized use of computers.
This group of products provides users of personal computers with (1) Internet
security, (2) file security (including e-mail), and (3) internal facility security.
The Company has a patent in the United States, which covers
the implementation of Com-Guard hardware. Copyright applications will be filed on all
software as it is developed and enhanced.

| Dr. Edward W. Savarese is the founder of the
Company and is Chairman of the Board of Directors and its Chief Executive Officer.
Previously, he held the position of Chief Executive Officer of Imaging Technologies
Corporation from 1982 to 1998. From 1981 to 1982, he was director of sales for SofTech
Microsystems. From 1978 to 1981, Dr. Savarese was employed by Hewlett Packard Company,
leaving as district sales manager supervising a sales force in the marketing of mini- and
microcomputers. Dr. Savarese holds a Doctorate degree from Columbia University, Teacher's
College, with specialization in educational technology and software and systems design. He
also holds a Master of Science in administration and management from Pace University. |

Dr. Edward H. Currie is a director of
the Company. He has more than twenty years of senior management experience in domestic and
international microcomputer-related software publishing and hardware manufacturing. Since
1988, Dr. Currie has been president and chief executive officer of ImageSoft, Inc., an
international software publisher. Dr. Currie is a co-founder of PC Magazine, the largest
circulation magazine on the personal computer. He also is the founder of C++ Journal and
publisher of The PostScript Journal. He has published many articles, including technical
articles in U.S. and international trade magazines. He holds BSEE, MS Physics, and Ph.D.

Joe Sigismonti
serves as President and Chief Operating Officer for the Company. He has been actively
involved in the development, marketing, and sales of computer systems and related products
for over 30 years. As an electronics engineer, sales representative, line manager, and
corporate executive, he has a proven track record in such well-known companies as
McDonnell Douglas, Hewlett Packard, Scientific Atlanta, and Perkin Elmer.
Mr. Sigismonti has developed and directed large, high-technology marketing and sales
forces worldwide. He has held positions as Vice President of sales and marketing; Vice
President of worldwide sales; and Executive Vice President of operations in companies
serving various high-technology markets. Mr. Sigismonti received his Bachelor of Science
degree in electrical engineering from Pennsylvania State University. |

27 years of sales and marketing experience in computer technology companies. Previously,
Mr. Hartman was VP of national sales for Moonlight Products and held various positions for
ADNC Corp., Proxima Corp., Megahaus Corp., Telesoft, PCPI and Burroughs Corp. He
earned his BS Marketing from Cal-State Long Beach. |

| Alan F. Miller serves as Vice President of
engineering for the Company. He has 20 years of engineering experience. Previously he was Vice President of engineering at
Imaging Technologies Inc. and has held various positions for Internet Magic, Bendix Corp.,
Staff Training Solutions and Data Electronics Inc. He holds a Bachelor of Science
degree in computer science from National University in San Diego. |

Nolan Bushnell is the founder and currently the
CEO of uWink.com, Inc., a provider of Internet-networked games and e-commerce terminals to
retail establishments such as airports, bars and restaurants. Mr. Bushnell, considered the
"Father of the Video Game Industry", is best known as the founder of Atari
Corporation and Chuck E. Cheese's Pizza Time Theater. Mr. Bushnell received his B. S. in
Electrical Engineering in 1968 from the University of Utah, where he is a
"Distinguished Fellow", and also attended Stanford University Graduate School.
Robert (Bobby) Orbach is the founder
and president of B. Orbach, Inc., which was founded in May 1990 to establish and create strategic alliances for technology companies.
Earlier in his career, Mr. Orbach served as Vice President, Business Development, at 47th Street Photo, Computer Division, one of the earliest PC discount retailers.
